Marketplace Purchase & Sale Agreement

1. SwitchEV is a facilitator, not a party to your sale

The SwitchEV marketplace lets a seller list a converted or restored electric vehicle and a buyer purchase it. SwitchEV facilitates the introduction, holds the buyer's payment in escrow ("SwitchEV Protect"), and releases funds per this agreement. SwitchEV is not the buyer, the seller, a broker, a dealer, or a party to the sale. The sale contract is solely between the buyer and the seller. SwitchEV does not take title to, inspect, store, transport, warrant, or guarantee any vehicle.

2. Eligibility

You must be at least 18 years old and able to form a binding contract. By buying or selling, you represent that you meet these requirements and that you are legally permitted to transact in your jurisdiction.

3. Listings and condition — sold "as-is"

Sellers are responsible for the accuracy of their listing, including the vehicle's specifications, conversion details, condition, history, and price. Buyers are responsible for reviewing the listing and performing their own due diligence. Vehicles are sold "as-is, where-is," without warranties of any kind from SwitchEV. Any warranty, if any, is solely between buyer and seller.

4. How SwitchEV Protect holds and releases funds

When a buyer purchases, the full price is charged and held in escrow. The buyer confirms receipt of the vehicle, which opens an inspection window. When the buyer accepts (or the inspection window elapses without a dispute), SwitchEV releases the net amount (price minus the SwitchEV Protect fee) to the seller. A buyer may open a dispute within the inspection window; SwitchEV may then refund the buyer, release to the seller, or split, at its reasonable discretion based on the evidence. Either party may cancel a held order before delivery, refunding the buyer.

5. Title, registration, and delivery happen off-platform

Transfer of title, registration, taxes, and the physical handoff or transport of the vehicle are handled directly between buyer and seller, off-platform. The buyer's confirmation of receipt and acceptance is what releases payment; it does not transfer title — that is the parties' responsibility. SwitchEV does not verify title status, liens, odometer accuracy, or roadworthiness.

6. Fees

The SwitchEV Protect fee is shown before purchase and is deducted from the seller's payout. Payment processing is handled by Stripe; seller payouts require a connected Stripe account.

7. Disputes and refunds

Buyer–seller disputes about the vehicle are resolved between the parties; SwitchEV's role is limited to administering the held funds (refund / release / split) as described in Section 4. Refunds of the held amount are returned to the buyer's original payment method.

8. Prohibited conduct

You agree not to misrepresent a vehicle, transact off-platform to evade fees or escrow, list a vehicle you do not own or have the right to sell, or use the marketplace for any unlawful purpose. SwitchEV may remove listings, cancel orders, and suspend accounts for violations.

9. Disclaimers and limitation of liability

The marketplace is provided "as-is." To the fullest extent permitted by law, SwitchEV disclaims all warranties regarding any vehicle and is not liable for the condition, legality, safety, or value of a vehicle, or for any dispute between buyer and seller. SwitchEV's aggregate liability arising from a transaction is limited to the SwitchEV Protect fee it collected on that transaction.

10. General

This agreement supplements the SwitchEV Terms of Service and Privacy Policy. If any provision is unenforceable, the rest remains in effect. SwitchEV may update these terms; continued use constitutes acceptance.
